Terms of Service
Last updated: [date]. These terms are between [legal entity name and registered address] ("SyncFlowHR", "we", "us") and the organisation that creates a workspace ("you", "the customer").
1. The service
SyncFlowHR provides a hosted human-resources application. Each customer receives a private workspace with its own database and file storage, at an address of the form yourcompany.syncflowhr.com. The modules available depend on the plan you choose.
2. Your account
The person who signs up is the workspace owner and HR administrator. You are responsible for the people you give access to, for keeping sign-in details confidential, and for the accuracy of the information you enter. You must be authorised to bind your organisation to these terms.
3. Your data
You own the data you put into your workspace. We process it only to provide the service and as described in our Privacy Policy and any data-processing agreement between us. You are responsible for having a lawful basis for processing your employees' personal data and for the lawfulness of what you upload.
4. Plans, trials and billing
Plans are billed monthly, or yearly at 12 months for the price of 11, as chosen at checkout, per active employee, subject to the minimum monthly charge shown on the pricing page. The number of active employees is measured from your workspace and may change during the month. Prices exclude VAT unless stated. A free trial converts into a paid subscription at the end of the trial unless you cancel before then. Payments are processed by Stripe. We may change prices on reasonable written notice; changes apply from your next billing period.
5. Changing plan and cancelling
You can change plan or cancel from your account page. Upgrades take effect immediately. Downgrades switch off the modules that are no longer included, but the data you entered is kept. When you cancel, your subscription ends at the end of the period you've paid for.
6. Unpaid or cancelled workspaces
If a payment fails or a subscription ends, your workspace becomes read-only: people can sign in and view records, but changes are blocked. We keep the data for [30/60/90] days so you can restore the subscription or export your records, after which we may delete it. You can ask us to delete it sooner. You can download an export of your workspace at any time.
7. Acceptable use
You must not misuse the service: no attempts to access other customers' data, no interference with its operation, no unlawful content, and no use that would put the service or other customers at risk. We may suspend a workspace that does.
8. Not legal, tax or employment advice
Templates, compliance checks and reports are aids, not legal, tax or employment advice. You remain responsible for your obligations as an employer. Have contracts and policies checked by a suitably qualified adviser before relying on them.
9. Availability and support
We aim for high availability but do not guarantee uninterrupted service. We may carry out maintenance and will try to give notice of planned downtime. Support is by email.
10. Liability
Nothing in these terms limits liability that cannot be limited by law. Subject to that, we are not liable for indirect or consequential loss, and our total liability in any twelve-month period is limited to the fees you paid in that period. [To be confirmed by a solicitor.]
11. Changes to these terms
We may update these terms and will tell workspace owners by email before material changes take effect.
12. Governing law
These terms are governed by the laws of [Ireland], and the courts of [Ireland] have jurisdiction, subject to any mandatory consumer rights.
